1) General Terms for Use of Services

Introduction
Magic Ekart Private Limited is a registered service provider offering business, legal, and compliance solutions. By using our magicefilling or any of our products, tools, or services (collectively called “Resources”), you agree to follow these Terms & Conditions along with our Privacy Policy. Continued use of our platform after any updates to these terms will be considered your acceptance of the revised version.

Taxes and Government Fees
Goods and Services Tax (GST) is applicable to all our fees. A valid GST Invoice and Input Tax Credit are available only if you provide your GSTIN at the time of payment. Any additional government fees related to company registration, licensing, or intellectual property will be shown on your invoice and paid to the relevant authority.


Responsible Use and Conduct

To access our Resources, you may need to provide personal information such as your name, contact details, or identification. You confirm that this information will always be correct and updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. Our service obligations end once we grant you access to our platform; from that point, outcomes and responsibilities rest with you.

Accessing our systems in any unauthorized, unethical, or automated manner is strictly prohibited. Activities that interfere with our operations or security are not permitted. Copying, selling, or redistributing our Resources without permission is forbidden.

Any loss or damage caused to us by unauthorized or illegal activity may result in both civil and criminal liability.

You agree to indemnify and hold harmless Magic Ekart Private Limited, its affiliates, officers, employees, and agents from any losses, costs, or damages (including reasonable legal fees) resulting from violation of these Terms & Conditions or misuse of your account. We may assume exclusive defense of any claim covered under this clause, and you agree to cooperate fully in such cases.

Limitation of Liability

Our total liability for any claim is limited to the amount you paid for the relevant service. Under no circumstances shall Magic Ekart Private Limited be liable for indirect, incidental, or consequential losses arising from the use or inability to use our services, including downtime, data loss, or government delays.


Intellectual Property

All materials available on our magicefilling—including text, graphics, software, and logos—are owned or licensed by Magic Ekart Private Limited and protected by copyright and trademark laws. Reproduction or redistribution without written authorization is strictly prohibited.


Termination of Use

We may suspend or terminate your account or access to our Resources at any time, with or without notice, if you breach these Terms & Conditions or engage in unlawful activity. Upon termination, your right to use our Resources ceases immediately, and we may delete your stored information.


Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of the State of Tamil Nadu, India. Any dispute will be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu.


Cancellation and Refund

Payments once made are generally non-refundable. Refunds will be issued only in the event of service non-performance by Magic Ekart Private Limited.


Guarantee Disclaimer

Unless expressly stated, Magic Ekart Private Limited disclaims all warranties—express or implied—relating to merchant ability, fitness for a particular purpose, and non-infringement.

Introduction
This Privacy Commitment applies to the personal and sensitive information (“Customer Information”) of all users of the services provided by Magic Ekart Private Limited through its business management platform and associated digital products (“EASY Accounting Solution Yours” or “the Platform”).

By using or accessing EASY Accounting Solution Yours through our magicefilling, mobile app, or any other medium, you acknowledge that you have read and accepted this Privacy Commitment. You also consent to the collection, storage, use, and sharing of your information as described herein.

Magic Ekart Private Limited is committed to safeguarding your privacy and maintaining the confidentiality of all Customer Information. All data is handled in compliance with applicable privacy and data protection laws.

3. INCORPORATION, STARTUP & REGISTRATION SERVICES

3.1 Scope of Work

The Company assists clients in incorporation, startup registration, and other related legal and business formation services, including procurement of Digital Signature Certificates (DSC), Director Identification Numbers (DIN), name approvals, and filings under applicable statutes.

3.2 Government Charges

All statutory fees, stamp duties, and other government charges are payable by the Client and are not included in the Company’s professional service fee. Such payments will be made directly to the respective authorities or reimbursed to the Company upon request.

3.3 Client Obligations

The Client must provide accurate documents and information required for incorporation or registration. The Company shall not be held responsible for delays, rejections, or penalties resulting from incomplete, incorrect, or misleading submissions by the Client.

3.4 Service Timelines

All timelines provided by the Company are indicative and subject to the efficiency of governmental departments and third-party agencies. The Company will make reasonable efforts to complete assignments within estimated time frames but shall not be liable for any external delays.

3.5 Authorized Capital and Fees

Government filing fees are determined by the Client’s chosen authorized share capital and the state of registration. Any increase in authorized capital or change in business type may require payment of additional fees.

3.6 Appointment of Auditors

Under applicable company law, an auditor must be appointed within the prescribed period after incorporation. It is the Client’s responsibility to ensure compliance; however, the Company may provide assistance upon request.

3.7 DSC and KYC Compliance

The Company provides DSC tokens and related e-KYC services per guidelines issued by the Certifying Authority. All DSC holders must comply with prescribed renewal, verification, and usage rules.


4. INTELLECTUAL PROPERTY (IP) SERVICES

4.1 Scope

The Company provides services relating to intellectual property protection, including trademark registration, copyright, and patent facilitation. Each application is subject to the procedures and decisions of the relevant governmental authority.

4.2 Accuracy of Information

The Client is responsible for ensuring that all information and documents submitted for IP filings are correct and complete. The Company shall not be held liable for refusal or objection by the Trademark or Patent Office due to inaccurate or misleading submissions.

4.3 No Guarantee of Approval

While the Company exercises due diligence in preparing and filing applications, it does not guarantee acceptance, approval, or registration of any IP application. The outcome remains at the discretion of the statutory authority.

4.4 Class-Wise Application

Fees for trademark and other IP registrations apply per class or category as prescribed by law. Additional classes or modifications will attract separate fees.

4.5 Communication & Renewal

It is the Client’s responsibility to maintain communication details up to date for receiving notices or renewal alerts. The Company may provide reminders as a value-added service but bears no liability for missed renewals.


5. TAXATION & COMPLIANCE SERVICES

5.1 Nature of Services

The Company offers accounting, bookkeeping, tax filing, payroll, GST, and other compliance-related services (“Compliance Services”). The scope of each engagement is defined by the specific service package selected by the Client.

5.2 Data Accuracy

All filings and reports are based on information and documents supplied by the Client. The Company is not responsible for any error, omission, or non-compliance resulting from incomplete or inaccurate data furnished by the Client.

5.3 Client Responsibilities

The Client shall:

  • Provide timely and accurate records;
  • Retain copies of all returns, reports, and filings;
  • Ensure payment of government dues and taxes; and
  • Respond promptly to any clarifications sought by the Company.

5.4 Limitation of Liability

The Company shall not be liable for penalties, losses, or damages arising from delayed or incorrect filings caused by the Client’s failure to provide complete information or to review submissions within stipulated timelines.

5.5 Turnover-Based Pricing

Certain service packages are priced based on turnover or employee limits. If actual figures exceed the stated limits, the Company may revise fees or suspend services until additional charges are paid.

5.6 Confidentiality

The Company will maintain strict confidentiality of all financial and personal information shared by the Client, except as required by law or with the Client’s written consent.


6. WINDING UP / STRIKE-OFF SERVICES

6.1 Eligibility

A company that has been inactive for two years or more may apply for voluntary strike-off under applicable provisions, provided all compliance requirements have been duly met.

6.2 Client Responsibility

The Client must ensure that all statutory filings, accounts, and tax obligations are up to date before initiating the strike-off process. Any non-compliance may lead to rejection of the application by the Registrar of Companies.

6.3 Director Consent & Digital Signatures

All directors must consent to the closure and maintain valid DIN and DSC credentials throughout the process.

6.4 Fees and Charges

All applicable government fees, professional charges, and out-of-pocket expenses must be paid in full prior to submission. The Company will not be liable for rejections or delays due to unpaid or incorrect fees.

6.5 Limitation of Liability

The Company’s role is limited to advisory and filing assistance. It shall not be responsible for rejection of the closure application or any post-closure compliance obligations unless otherwise agreed in writing.

User Misconduct Policy

If any user misbehaves with our staff, attempts fraud, or engages in any illegal activity such as submitting fake documents or fraudulent registration, we will block their ID and initiate appropriate legal action.
